  1. Acceptance of the Terms of Use

    Thank you for signing the Our Ag Future’s petition (“Petition”) and opting in to receive Our Ag Future’s newsletter! Our AG Future is a NC Chamber of Commerce initiative (collectively “NC Chamber”, “we” or “us” or “our”). The following terms and conditions and privacy policies, together with any documents they expressly incorporate by reference (collectively, these “Terms”), govern your signing of Our Ag Future’s petition and your receipt of our newsletter. Any petitions you sign that are offered by third parties are subject to those third party’s terms and conditions, and are separate and distinct from the NC Chamber’s petition.

    Please read these Terms of Use and Privacy Policy (collectively “Terms”) carefully before you sign the Petition. By clicking submit, you accept and agree to be bound and abide by our Terms of Use and Privacy Policy, and that you have the authority to be bound by the same.

    If you do not want to agree to these Terms of Use or the Privacy Policy, you are prohibited from accessing and signing the Petition or receiving our newsletter. This Petition is offered and available to users who are 18 years of age or older. By signing the Petition, you represent and warrant that you are of legal age to form a binding contract with NC Chamber.

    Please note that this Terms of Use and Privacy Policy is intended to apply solely where you sign a petition offered by us and opt-in to receive our newsletter. There may be other policies that apply when you, for example, access our website or engage with us in other settings and on other mediums. In such instances, the policies linked or provided in those locations shall control and shall not be impacted by the terms of these Terms.

  2. Changes to the Terms

    We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them or include them with our newsletter communications and apply to all access to and use of the Petition or our newsletter thereafter. However, any changes to the dispute resolution provisions set forth in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or prior to the date the change is posted on the Website.

  3. Personal Information

    To sign the Petition and opt-in to receive our newsletter, you are required to provide certain personal details or other information, such as your name, email address, and phone number. It is a condition of your signing the Petition that all the information you provide in the Petition is correct, current and complete. You recognize and agree that all information you provide in signing the Petition is governed by these Terms, and you consent to all actions we take with respect to your information consistent with these Terms.

  4. Our Use of Your Personal Information

    We may use information you voluntarily provide us through your Petition signature in the following ways:

    • To present the Petition and our newsletter and its contents to you;
    • To provide you with information, products or services that you request from us;
    • To carry out our obligations and enforce our rights arising from any contracts entered into between you and us, including for billing and collection;
    • To register event attendees;
    • To better market the brand and its services;
    • To notify you about changes to our Website or any products or services we offer or provide through it;
    • To determine interests, needs, and preferences;
    • In any other way we may describe when you provide the information; and
    • For any other purpose with your consent.
  5. Disclosure of Your Information

    Generally, the NC Chamber does not disclose or sell its lists of email subscribers to any third party. Exceptions to this policy are listed below.

    We may disclose personal information that we collect or you provide as described by these Terms:

    • To our subsidiaries and affiliates;
    • To ideologically aligned organizations that we believe you may be interested in hearing from;
    • To contractors, service providers, and other third parties we use to support our business;
    • To a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of NC Chamber’s assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which personal information held by NC Chamber about the Website users and newsletter subscribers is among the assets transferred;

    • To fulfill the purpose for which you provide it;
    • For any other purpose disclosed by us when you provide the information;

    You may request that the NC Chamber refrain from disclosing the data it collects to any third party by sending an email to publications@ncchamber.com.

  7. Third-party Use of Cookies and Other Tracking Technologies

    Some content or applications, including advertisements, on the Website may be served by third-parties, including advertisers, ad networks and servers, content providers, and application providers. These third parties may use cookies alone or in conjunction with web beacons or other tracking technologies to collect information about you when you use the Apps/Website. The information they collect may be associated with your personal information, or they may collect information, including personal information, about your online activities over time and across different websites and other online services. They may use this information to provide you with interest-based advertising or other targeted content.

    We do not control these third parties’ tracking technologies or how they may be used.   8. Intellectual Property Rights

    The Petition and our newsletter and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection, and arrangement thereof), are owned by NC Chamber, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

    You must not, in any way, shape, or form, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material included in the Petition or our newsletter.

    Except as permitted by prior written agreement by NC Chamber, you must not access or use for any commercial purposes any part of the Petition or our newsletter.

    If you print, copy, modify, download, or otherwise use or provide any other person with access to the Petition or our newsletter in breach of these Terms, your right to participate in the Petition and receive our newsletter will cease immediately, and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Petition or any content in the Petition is transferred to you, and all rights not expressly granted are reserved by NC Chamber. Any use of the Petition not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

  9. Copyright and Trademarks

    The NC Chamber name, the terms “NC CHAMBER” and “Our Ag Future,” and all related names, logos, product and service names, designs, and slogans are trademarks of NC Chamber or its affiliates or licensors. You must not use such marks without the prior written permission of NC Chamber. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

    If you believe that the Petition or content included in our newsletter violates or infringes upon your or a third party’s intellectual property rights pursuant to Title 17, United States Code, Section 512(c)(2), please notify us immediately at publications@ncchamber.com with all specifics necessary for us to consider and respond to your complaint. You may be asked to provide additional information and follow additional procedures for us to act on your complaint.

  10. Prohibited Uses

    You may use the Petition and our newsletter only for lawful purposes and in accordance with these Terms. You agree not to use the Petition or our newsletter:

    • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
    • To impersonate or attempt to impersonate NC Chamber, an NC Chamber employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).
    • To engage in any other conduct that restricts or inhibits anyone’s use or participation in the Petition, or which, as determined by us, may harm NC Chamber or signers of the Petition or expose them to liability.

    Additionally, you agree not to:

    • Use or access the Petition or our newsletter in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Petition, including their ability to engage in real-time activities through the Petition.
    • Use any robot, spider, or other automatic device, process, or means to access the Petition or our newsletter for any purpose, including monitoring or copying any of the material in the Petition or our newsletter.
    • Use any manual process to monitor or copy any of the material on the Petition or our newsletter or for any other unauthorized purpose without our prior written consent.
    • Use any device, software, or routine that interferes with the proper working of the Petition or our newsletter.
    • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Petition or our newsletter, the server on which each is stored, or any server, computer, or database connected thereto.
    • Attack the Petition or our newsletter via a denial-of-service attack or a distributed denial-of-service attack.
    • Otherwise attempt to interfere with the proper working of the Petition or our newsletter.
  11. Monitoring and Enforcement; Termination

    We have the right to:

    • Disclose your identity or other information about you to any third party who claims that information provided by you violates their rights, including their intellectual property rights or their right to privacy.
    • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Petition or our newsletter.
    • Terminate or suspend your participation in all or part of the Petition or our newsletter for any or no reason, including without limitation, any violation of these Terms of Use.

    Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Petition or our newsletter. YOU WAIVE AND HOLD HARMLESS NC CHAMBER AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY NC CHAMBER/ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER NC CHAMBER/SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

    We assume no liability for any action or inaction regarding transmissions, communications, or content related to the Petition, information collected through the Petition, or our newsletter. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

  12. Information About You Collected Through the Petition and Newsletter

    By signing the Petition or receiving our newsletter, you consent to all actions taken by us with respect to your information in compliance with these Terms.

  13. Third Party Petitions

    If NC Chamber also offers Petition signers or newsletter subscribers the ability to sign other petitions offered by independent third parties, these third-party petitions are provided for your convenience only. We have no control over the contents of those petitions or such third-party's use of any personal information and/or data you provide by submitting such third-party petition. We accept no responsibility for any loss or damage that may arise from your participation in such third-party petitions. If you decide to sign third party petitions, you do so entirely at your own risk and subject to the terms and conditions as declared by such third-party.

  14. Geographic Restrictions

    We are incorporated in the state of North Carolina in the United States of America. We provide this Petition and our newsletter is for use by persons located in North America. We make no claims that the Petition or our newsletter is accessible or appropriate outside of North America. Signing the Petition or opting in to receive our newsletter may not be legal by certain persons or in certain countries. Your provision of your personal information is on your own initiative and you are responsible for compliance with local laws.

  15. Disclaimer of Warranties

    You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet related to us will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.

    NC CHAMBER HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

  16. Limitation on Liability

    IN NO EVENT WILL NC CHAMBER, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE WEBSITE OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.

  17. Indemnification

    You agree to defend, indemnify and hold harmless NC Chamber, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms governing your participation in the Petition or receipt of our newsletter, including, but not limited to any use of any included content, services and products other than as expressly authorized in these Terms.

  18. Governing Law and Jurisdiction

    All matters relating to the Website and these Terms and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of North Carolina without giving effect to any choice or conflict of law provision or rule.

    Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of North Carolina, in each case located in the City of Raleigh and County of Wake. However, we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

  19. Waiver and Severability

    No waiver by NC Chamber of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of NC Chamber to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

    If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of the Terms of Use will continue in full force and effect.

  20. Entire Agreement

    The Terms of Use and our Privacy Policy, and if applicable, any written agreements that are active by and between you and NC Chamber, constitute the sole and entire agreement between you and NC Chamber with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Website.

  21. Your Comments and Concerns

    This website is operated by NC Chamber located at: 701 Corporate Center Drive (Suite 275), Raleigh, NC 27607.

    All notices of copyright infringement claims should be sent to the email address designated in Section 9 above, or NC Chamber physical address in this Section 21.
